Silica Investment in Jordan: A Guide for Foreign Investors

By Jamal Hadidi, Managing Partner, Jamal Hadidi & Co.

Jordan’s silica resources offer a starting point for investors considering mineral processing, specialty glass and other value-added industrial projects. The investment decision depends on bringing together a suitable resource, a technically achievable product, access to the relevant rights and a commercially viable route to market. For a foreign investor, these elements need to be assessed together from the outset.

The Ministry of Investment’s investment portal identifies Dabbet Hanout as a high-potential silica opportunity. Southern Jordan’s proximity to Aqaba is also highlighted in the Ministry of Energy and Mineral Resources’ silica overview. Those features justify investigation, while the economics and legal position must be established for the particular site and proposed processing activity.

Define the product before choosing the investment structure

A silica project can involve extraction, washing and classification, further purification, or manufacture of a downstream material. Each model needs a different technical partner, customer base and capital plan. A company evaluating low-iron glass feedstock will ask different questions from a producer of quartz materials for semiconductor equipment.

The first commercial task is therefore to define the intended product and obtain prospective customers’ acceptance criteria. That determines the testing programme, processing requirements and potential investment scale. It also helps identify whether the most useful foreign partner is a mining operator, a technology provider, a manufacturer or a buyer prepared to enter a long-term purchase agreement.

Confirm mineral rights and land access

Investors should establish who holds the relevant rights, the authorised mineral and area, the duration and conditions of those rights, and any existing compliance issues. Land ownership or a land lease should be examined separately from permission to explore or mine. A project acquisition also needs a review of whether proposed transfers, financing arrangements or changes in the operating structure require approval.

Jordan’s Energy and Minerals Regulatory Commission describes its role in issuing exploration, mining and quarry licences. The Natural Resources Law No. 19 of 2018 is included in the Ministry’s legislation catalogue. The exact route for a proposed silica project should be confirmed against the applicable legislation, decisions and conditions attached to its location and intended use.

Choose a route matched to the project

Potential transaction structures include establishing a project company, partnering with an existing local operator, acquiring an interest in a rights-holding business, or developing a processing facility supplied under contract. Where a government agreement route applies, qualification and negotiation form part of the project plan. The Ministry describes a staged direct-offer, evaluation and agreement process for relevant strategic-resource projects in its official guidance; its applicability to a particular silica opportunity must be established.

A shareholder agreement should connect funding commitments to defined milestones. Important provisions include technical responsibility, access to data, decision-making, additional capital, technology rights, customer relationships and exit arrangements. These terms become especially valuable when a project needs a testing period before major plant expenditure.

Assess the processing site and delivered economics

The processing location can be as important as the deposit. Investors need a costed assessment of power, water, transport, chemicals where required, waste handling and export logistics. Environmental obligations, rehabilitation requirements and the availability of utilities should be addressed before the investment model is finalised.

Investment incentives and any special-zone treatment should be evaluated for the actual activity, location and legal entity. A mine, processing plant and export business may raise different questions. An attractive headline tax rate or general description of an incentive is insufficient to establish the project’s eligibility.

Build customer qualification into the transaction

A purchase agreement can help support investment, but its technical conditions deserve careful drafting. Product specifications, sample acceptance, inspection, rejection rights, pricing adjustments and delivery obligations should be consistent with the process the project can reliably operate. Early testing arrangements should clarify who bears costs and owns results, and whether either party receives exclusivity.

A practical development sequence is to establish the resource and rights position, agree a buyer-led testing programme, confirm processing economics and then commit capital in stages. This gives foreign partners a clearer basis for assessing a Jordan silica opportunity and reduces the risk of a mismatch between the mineral resource and the intended industrial market.
